AutoProfit Standard Terms and Conditions of Business

These Terms and Conditions (“Terms”) form a legally binding agreement between AutoProfit Limited (“AutoProfit”, “we”, “our”, or “us”) and the User (“User”, “you”, or “your”). These Terms govern access to and use of the AutoProfit platform, products, services, vehicle marketplace, rental functionality, and related digital services.

AutoProfit operates a UK-based digital automotive marketplace that enables users to buy, sell, list, auction, and rent vehicles through our online platform.

AutoProfit reserves the right to update or modify these Terms at any time. Users are encouraged to review these Terms regularly to remain informed of any changes.

Particular attention should be given to the sections relating to liability, user obligations, vehicle descriptions, payment responsibilities, and platform usage limitations. AutoProfit does not independently verify all listings, advertisements, condition reports, or user-provided information and therefore cannot guarantee the accuracy of vehicle descriptions, specifications, pricing, or condition details.

1. Definitions and Interpretation

Unless the context requires otherwise, the following definitions apply throughout these Terms:

“Advert” means any vehicle listing, description, text, image, video, specification, pricing information, condition report, or other content published on the AutoProfit platform.

“Auction Vehicle” means a vehicle listed for sale through the auction functionality available on the AutoProfit platform.

“Bidder” means a registered User who places a bid on an Auction Vehicle.

“Buyer” means a User who purchases or agrees to purchase a vehicle through the AutoProfit platform, whether via auction, direct purchase, or rental agreement.

“Buy Now Vehicle” means a vehicle listed with a fixed purchase price that allows immediate purchase.

“Charges” means subscription fees, transaction fees, listing fees, rental fees, or any other charges payable by the User for use of the platform and services.

“Condition Report” means information provided by a seller describing the condition of a vehicle, including mechanical condition, interior and exterior condition, tyre condition, mileage, and any visible defects.

“Contract of Sale” means the legally binding agreement formed between a Buyer and Seller following the acceptance of an offer through the AutoProfit platform.

“Materials” means any text, photographs, videos, graphics, data, vehicle information, documents, or other content uploaded or submitted by a User.

“Offer” means a legally binding offer submitted by a User to purchase a vehicle through the platform.

“Platform” means the AutoProfit website, marketplace, mobile services, applications, and related digital systems operated by AutoProfit.

“Seller” means a User listing a vehicle for sale or rental on the platform.

“Services” means all products, services, digital tools, vehicle marketplace features, rental services, auction functionality, analytics, alerts, and related solutions provided by AutoProfit.

“User” means any person, company, dealership, fleet operator, rental provider, or organisation registered to use the AutoProfit platform.

“Vehicle Information” means all data relating to a vehicle, including registration details, pricing, mileage, specifications, photographs, history, condition details, and sales information.

References to the singular include the plural and vice versa. Headings are included for convenience only and do not affect interpretation.

2. User Agreement

By registering an account, accessing the platform, listing a vehicle, placing a bid, renting a vehicle, or using any AutoProfit services, the User agrees to comply with these Terms.

AutoProfit may approve or reject any account registration at its sole discretion.

Users are responsible for ensuring that all information submitted during registration or use of the platform is accurate, complete, and up to date.

AutoProfit may modify these Terms at any time. Continued use of the platform following updates constitutes acceptance of the revised Terms.

3. Platform Services

General Services

AutoProfit provides a digital marketplace enabling users to:

Buy vehicles;
Sell vehicles;
Rent vehicles;
Participate in vehicle auctions;
List vehicles for direct purchase;
Access vehicle market insights and analytics;
Manage listings and rental activity online.

Access to certain services may require payment of subscription fees or transaction fees.

AutoProfit will use reasonable efforts to ensure platform availability but does not guarantee uninterrupted access.

Vehicle Listings

When listing a vehicle on the platform, the Seller confirms that:

They legally own the vehicle or have authority to sell or rent it;
Vehicle information provided is accurate and truthful;
The listing does not violate any laws or third-party rights;
The vehicle is available for the transaction being advertised;
The listing does not contain misleading, false, or fraudulent information.

Users must not engage in fraudulent bidding, false listings, price manipulation, or any deceptive practices.

AutoProfit reserves the right to remove listings or suspend accounts where suspicious or prohibited activity is detected.

Auctions

Bids submitted through the platform are legally binding.

Once a Seller accepts a bid or reserve price conditions are met, a binding Contract of Sale is created between Buyer and Seller.

Buyers are responsible for completing payment and collection of purchased vehicles within the timeframe agreed between the parties.

AutoProfit may offer automated bidding or maximum bid functionality. Users remain responsible for all bids submitted through their accounts.

Buy Now Vehicles

Vehicles listed with a fixed purchase price may be purchased immediately by submitting a binding offer.

Once accepted, both Buyer and Seller are legally obligated to complete the transaction.

Vehicle Rentals

AutoProfit may provide vehicle rental and leasing functionality through the platform.

Users listing vehicles for rent confirm they have the legal right to rent the vehicle and maintain appropriate insurance and legal compliance.

Rental agreements may be subject to additional policies, insurance requirements, and verification procedures.

Condition Reports

Sellers are responsible for ensuring all condition reports and vehicle descriptions are accurate.

AutoProfit does not independently inspect or verify all vehicle condition reports and accepts no responsibility for inaccuracies supplied by users.

Buyers are encouraged to conduct their own inspections and due diligence before completing any transaction.

4. Advertisements, Content, and Uploaded Materials

Users are solely responsible for all content uploaded to the platform.

AutoProfit reserves the right to:

Edit or reject advertisements;
Remove misleading or inappropriate content;
Refuse publication of listings;
Remove duplicate or fraudulent listings;
Suspend accounts violating platform rules.

Users must ensure all uploaded content:

Is lawful and accurate;
Does not infringe intellectual property rights;
Is not defamatory, misleading, or offensive;
Complies with advertising laws and regulations.

Users remain fully responsible for all uploaded materials and vehicle information.

5. User Obligations

Users agree that they will not:

Use the platform unlawfully or fraudulently;
Attempt to access restricted areas of the platform;
Copy, scrape, reproduce, or redistribute platform content without permission;
Upload malicious software, viruses, or harmful code;
Use false identities or inaccurate information;
Manipulate auctions or bidding activity;
Use the platform to harass, abuse, or mislead other users.

Users are responsible for maintaining the confidentiality and security of their account credentials.

Users must comply with all applicable laws and regulations when using AutoProfit services.

6. Payments and Charges

Users agree to pay all applicable charges, fees, subscriptions, commissions, and transaction costs associated with their use of the platform.

Fees may include:

Subscription fees;
Listing fees;
Auction fees;
Transaction fees;
Rental commissions;
Additional service charges.

Payments must be made within the specified payment terms.

Late payments may result in:

Suspension of services;
Removal of listings;
Account restrictions;
Additional administrative or interest charges.

AutoProfit may use third-party payment providers and invoicing systems.

All fees are exclusive of VAT unless otherwise stated.

7. Changes to Charges

AutoProfit reserves the right to modify pricing, fees, subscription plans, and service charges at any time.

Users will be provided reasonable notice where required.

Free trials, promotional offers, and discounted services are provided at AutoProfit’s sole discretion.

8. Intellectual Property Rights

All intellectual property rights relating to the AutoProfit platform, branding, software, design, databases, content, and services remain the exclusive property of AutoProfit or its licensors.

Users grant AutoProfit a worldwide, non-exclusive licence to use, reproduce, display, publish, process, and distribute uploaded materials and vehicle information for the purposes of operating and promoting the platform.

Users confirm they own or have permission to use all content uploaded to the platform.

Users may not:

Copy or reproduce platform content;
Reverse engineer platform systems;
Use AutoProfit branding without permission;
Redistribute platform data to third parties.

9. Data Protection and Privacy

AutoProfit processes personal information in accordance with applicable UK data protection laws, including the UK GDPR and Data Protection Act 2018.

By using the platform, Users acknowledge that AutoProfit may collect and process personal data as described in the Privacy Policy.

AutoProfit may conduct identity verification and credit reference checks where necessary.

10. Suspension and Termination

AutoProfit may suspend or terminate access to the platform immediately where:

A User breaches these Terms;
Fraudulent or illegal activity is suspected;
Payments remain outstanding;
False information has been provided;
Platform misuse occurs;
User conduct harms AutoProfit or other users.

Users may terminate their account by providing written notice.

Termination does not remove responsibility for unpaid charges or existing contractual obligations.

11. Liability and Disclaimer

The AutoProfit platform and services are provided on an “as is” and “as available” basis.

AutoProfit does not guarantee:

Continuous platform availability;
Error-free functionality;
Accuracy of listings or vehicle information;
Successful sales or transactions;
Freedom from interruptions or cyber incidents.

AutoProfit shall not be liable for:

Loss of profits;
Loss of business or revenue;
Data loss;
Indirect or consequential damages;
Disputes between buyers and sellers;
Vehicle condition issues;
Incorrect information provided by users.

Nothing in these Terms excludes liability where exclusion is prohibited by law.

Users agree to indemnify AutoProfit against claims, losses, liabilities, damages, or expenses arising from their use of the platform or breach of these Terms.

12. Force Majeure

AutoProfit shall not be liable for delays or failures caused by events outside its reasonable control, including but not limited to:

Cyber attacks;
Internet outages;
Power failures;
Natural disasters;
Government actions;
Industrial disputes;
Telecommunications failures.

13. General Provisions

These Terms constitute the entire agreement between AutoProfit and the User.

If any provision is found unenforceable, the remaining provisions shall remain valid.

Users may not transfer or assign their rights without AutoProfit’s written consent.

These Terms are governed by the laws of England and Wales.

Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
